How to Become a Member
　 The members of the Association comprise of companies from the following industries: 1) prepress and printing companies; 2) machinery and materials manufacturers and trading companies; 3) companies related to flexography; and 4) others. Member companies of the association presently exceed 100.

  Using this Association as a forum for technical exchanges among users and suppliers, members help promote the diffusion of flexographic technologies and the improvement thereof. People who currently are not involved in, but are interested in flexographic technologies and are would like to exchange ideas on flexographic technologies are welcome to join.

Chapter 1.  General Provisions

(Name)
Article 1.  The Association is named Nihon Furekuso Gijutsu-kyokai (in English, Flexographic Technical Association of Japan)

(Head Office)
Article 2.  The head office of the Association will be located within: Printing and Publishing Institute, Kawajiri Building, 534 Waseda-Tsurumakicho, Shinjuku-ku, Tokyo.

(Objective)
Article 3.  The Association has the objective of the dissemination, technology exchanges, and development of flexographic technologies, fulfilling social responsibilities of supplying related products, contributing to society by the development of printing and prepress industries, and fostering friendship among its members.

(Business )
Article 4.  In order to realize the preceding Article, the following business activities shall be conducted:
              1. Technical study groups
              2. Technical exchange meetings, seminars, symposiums, tours, exhibitions             
　　　　　3. Information exchange with foreign countries
              4. Publication of newsletters
              5. Other business activities necessary to achieve the Associations objectives

Chapter 2.  Members

(Members)
Article 5.  Members of the Association shall consist of regular and associate members.
   2.  Regular members shall be corporations or organizations who have agreed to the Association's objectives and who have paid the prescribed membership fee.
   3.  Associate members shall be individuals who have agreed to the Association's objectives and who have paid the prescribed membership fee.

(Entry and Withdrawal)
Article 6.  Those intending to join the Association shall submit a completed membership application form prescribed separately, and shall receive the approval of the Board of Directors.

   2.  When members wish to withdraw from the Association, members shall notify the President of such intention. However, outstanding membership fees shall be accounted for before withdrawal.

(Membership Fee)
Article 7.  Members shall pay the amount determined in the General Assembly.

   2.  Membership fees shall be paid by March 31st of each year.
   3.  Paid dues are not refundable under any circumstances.
   4.  If membership fees remain outstanding for two years, the Board of Directors, upon taking a vote, has the right to expel the member in question.

(Rights of Members)
Article 8.  Regular members are entitled to the following rights:
              1.  Receive Newsletters.
              2.  Post articles to Newletters.
              3.  Present at Study Groups sponsored by the Association.

              4.  Participate in Study Groups and Seminars sponsored by the Association at the price determined by the Association.
              5.  Appoint a director or be appointed as a director. However, only a single vote for appointment is available.

   2.  Associate members are entitled to the following rights:
              1.  Receive Newsletters.
              2.  Post articles to Newsletters.
              3.  Present at Study Groups sponsored by the Association.
              4.  Participate in Study Groups and Seminars sponsored by the Association at the price determined by the Association.

Chapter 3.  Officers and Participative Advisors

(Officers)
Article 9.  The Association shall place the following officers:
              1.  President               1 person
              2.  Vice-President               2 people
              3.  Directors               A small number of people
              4.  Auditor                  1 person

(Election of Officers)
Article 10.  The President shall be elected by the Board of Directors.
   2.  The Vice-President shall be appointed by the President from among the Directors.
   3.  The Directors shall be proposed by the Board of Directors, and shall be approved by the General Assembly.

(Duties )
Article 11.  The President, on behalf of the Association, shall supervise the activities of the Association.
   2.  The Vice-President shall assist the President, and in the event of an accident to the President, the Vice-President shall assume the duties of the President.
   3.  The Directors, in addition to participating in the execution of the activities of the Association through the Board of Directors, shall perform duties prescribed by the Constitution and Rules set forth by the Board of Directors.
   4.  The Auditor shall perform the duties of auditing the business income and expenditure situation of the Association.

(Term of Officers)
Article 12.  The term of officers shall be two years. However, reappointments and re-elected offices shall be allowed.
   2.  The term of officers appointed/elected as substitutes is the remaining term of his/her predecessor.

(Counsel and Advisor)
Article 13.  The Association may place a counsel and an advisor.
   2.  Advisors and counsels, upon recommendation of the Board of Directors, are commissioned by the President.
   3.  Counsels may attend the Board of Directors' Meetings, and may be consulted by the Board of Directors. However, counsels have no voting rights within the Board of Directors.

Chapter 4.  Meetings

(Types of Meetings)
Article 14.  Meetings consist of the General Assembly and the Board of Directors' Meetings.

(General Assembly)
Article 15.  The General Assembly consist of the General Assembly and Extraordinary General Assembly.
   2.  The General Assembly shall be convened once a year by the President.
   3.  The following items shall be submitted for approval at the General Assembly.
              1.  Election/appointment of an officer upon the expiration of a term.
              2.  The business and earnings reports of the previous fiscal year.              3.  The business plan and budget for the current fiscal year.
              4.  Other matters deemed necessary by the Board of Directors or the Auditor.
   4.  The Extraordinary General Assembly shall be convened in the following cases:
              1.  When deemed necessary by the President.
              2.  Upon resolution of the Board of Directors.
              3.  When a request is made by the Auditor.
              4.  Upon request from one-fifth of the members of the Association.
   5.  The General Assembly is made official by attendance of more than half of the regular members (including proxies), and resolution is established by consent of the majority of those present. In the event of a tie, the decision shall be made by the Chairman. Voting rights shall be one per regular member.
   6.  The President assumes the position of Chairman of the meeting.
   7.  The dissolution of the Association shall be resolved by vote during the General Assembly or the Extraordinary General Assembly.

(Board of Directors)
Article 16.  The Board of Directors shall consist of the President, the Vice-President, the Directors, and the Auditor.
   2.  The Board of Directors' Meetings shall be convened by the President as needed, and shall deliberate and resolve issues pertaining to management of activities of the Association as set forth below:

              1.  Matters requiring the review of business plans by the General Assembly and the convocation of the General Assembly.

              2.  Execution of matters resolved by the General Assembly.

              3.  Planning, organization and management methods for the execution of the activities of the Association.

              4.  Establishment or abolition of regulations.

              5.  Other matters deemed necessary by the Board of Directors.

   3.  The President assumes the position of Chairman of the meeting. However, the President may delegate the role of Chairman to a Director ahead of time.

   4.  The Board of Directors' Meeting is made official by the attendance of a majority of the Directors (including proxies), and resolution is established by a majority vote of those present.

Chapter 5.  Accounting and Expenses

(Expenses)

Article 17.  Expenses of the Association shall be appropriated from membership fees, income from business activities, donations, and other miscellaneous income.

(Fiscal Year)

Article 18.  The fiscal year of the Association shall run from November 1st to October 31st of the following year.

Chapter 6.  Committees

(Establishment of Committees)

Article 19.  When the trouble-free execution of business activities listed in Article 4 is deemed necessary, the Board of Directors may decide to establish a committee.

(Organization of Committees)

Article 20.  Matters relating to the organization and operation of committees shall be determined by the President after consulting with the Board of Directors.

Chapter 7.  Supplement

(Regulations, Bylaws, and Rules)

Article 21.  For the trouble-free operation of the Association, Regulations may be prescribed as deemed necessary in addition to the Constitution.

   2.  The establishment and abolition of Regulations shall be determined by a majority vote of those present at the Board of Directors' Meeting, and requires the approval by the General Assembly.

   3.  The establishment or abolition of Bylaws may be determined by a majority vote of those present at the Board of Directors' Meeting. Voting results shall be reported to the General Assembly.

   4.  The establishment and abolition of Rules may be determined by a majority vote of those present at the Board of Directors' Meeting.

(Entrustment)

Article 22.  Except as provided for in this Constitution, matters necessary for the operation of the Association shall be determined by the President after consulting with the Board of Directors.

(Abolition)
Article 23.  The abolition of the Constitution requires the resolution of the General Assembly.

Appendix.  The present Constitution shall be adopted and shall take effect on November 1, 2005.

(Membership Fee)
Article 1.  Stipulated in Article 7 of the Flexographic Technical Association of Japan Constitution. Membership fees are set as follows:
       1. Regular Supplier     50,000 yen/year
       2. Regular Converter   36,000 yen/year
       3. Associate Member   18,000 yen/year
